These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you,” or “your”) and Statement Clarity Analytics, LLC, a limited liability company doing business as Statement Analytics (“SCA,” “Company,” “we,” “us,” or “our”). By accessing, registering for, or using our website, mobile application, or services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
9.2 Service Definition

The “Service” includes, without limitation: (a) the website located at statementanalytics.com and any associated subdomains; (b) the automated financial data aggregation tools provided via third-party integrations (e.g., Plaid); (c) the document upload and parsing interfaces utilizing artificial intelligence and optical character recognition technologies; (d) the generation of proprietary reports, including the “Advisor Grade,” “Fee Analysis,” and “Return on Advisor Expense” metrics; and (e) any educational content, newsletters, or benchmarking data provided by Statement Analytics.
9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STATEMENT ANALYTICS, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF INVESTMENT, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. STATEMENT ANALYTICS’ TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO STATEMENT ANALYTICS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9.4 Indemnification

You agree to indemnify, defend, and hold harmless Statement Analytics from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) the content, accuracy, or legality of any documents you upload; or (d) any public dissemination of Reports or Grades.
9.5 Arbitration and Class Action Waiver

DISPUTE RESOLUTION. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. CLASS ACTION WAIVER. YOU AND STATEMENT ANALYTICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 30-DAY OPT-OUT. You may opt out of this arbitration provision by sending written notice to legal@statementanalytics.com within 30 days of first accepting these Terms.
9.6 Intellectual Property Protection

The algorithms, calculation methodologies, benchmarking logic, code, and processes used to generate the Analysis Reports and Advisor Grades are the confidential and proprietary intellectual property of Statement Analytics. You agree not to: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service; (b) use the Service to build a competitive product or service; or (c) publish or disclose the specific mathematical formulas used by Statement Analytics without express written permission.

9.7 Prohibited Uses

You agree to use the Service and Reports solely for your personal, non-commercial financial analysis. You agree not to use the Reports, Grades, or data generated by the Service for the purpose of harassment, commercial disparagement, public defamation, or any unlawful activity. Statement Analytics disclaims all liability for any public dissemination of the Reports by you.
